M&A Deal Process

Step 1
Valuation

At the start of our engagement, we gather financial information from you to prepare an up to date value of your business in the current market.

Step 2
Market Preparation

After we gather operational, financial, and marketing materials from you, we will have a call with you to learn as much as we can about your specific business and its nuances. We then prepare marketing materials to education buyers about your business to get them to the next step of the process.

Step 3
Finding Buyers

We utilize our knowledge and industry experience of the marketplace through proprietary and confidential marketing strategies when selling your business. From our wide network of strategic and financial contacts, and other sources, we are ablet to target the most synergistic buyers for your business.

Step 4
Letter of Intent

The Letter of Intent is a non-binding document that sets the terms and aligns the parties on the deal structure. When an offer is submitted, we help you evaluate it so that you understand the key components of the LOI and how it compares to your goals. Once the LOI is signed, we move into the due diligence phase.

Step 5
Due Diligence

The buyer will submit detailed lists of items that they would like to review in every facet of your business to assess risk and understand your business. We guide you through this process and meticulously track the data sharing process.

Step 6
Integration Planning

We will help you prepare for integration so that you can understand what post-close life will look like. This step is key to ensuring success between buyer and seller after the deal closes.

Step 7
Employees
Relaying the message of an acquisition is a critical part of any deal. We will work with you through this important step and coordinate with the buyer on a plan of action to announce the transaction to employees soon after the deal has closed to ensure a successful transition.
 
Step 7
Closing Documents
All of the closing documents will to be prepared by the buyer’s attorney. Once you receive the documents, we work with you and your legal, financial, and tax team to negotiate and finalize the documents successfully.
Step 8
Closing
On closing day, after all of the closing documents have been finalized and signed, wire transfers will be sent out, and ownership of your firm is transferred to the buyer. Congratulations!
